Terms of Service

1. Seller
The SimpliQualify service ("Service") is provided by Parag Kandekar(SM Mentors) ("Seller", "we", "us"), trading as SimpliQualify. By using the Service you enter into a contract with the Seller on these Terms.
2. Acceptance
By creating an account, accessing, or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation. If you do not agree, do not use the Service.
3. The Service
SimpliQualify is a multi-tenant AI pre-sales assistant platform that provides an embeddable chatbot widget, knowledge-base ingestion and retrieval, guided demo playback, lead scoring, meeting scheduling, and analytics. Features available to you depend on the plan you have selected.
4. Acceptable use
You must not misuse the Service. In particular, you must not:
- use the Service for any unlawful, fraudulent, or deceptive purpose, including spam;
- upload content that infringes intellectual-property or privacy rights of others;
- attempt to probe, scan, or test the vulnerability of the Service, breach security or authentication, or interfere with other users;
- introduce malware, viruses, or other harmful code;
- scrape or copy the Service or its content other than as permitted; or
- reverse engineer or attempt to derive the source code of the Service except where permitted by law.
5. AI features and user responsibility
The Service uses AI models to generate responses based on your knowledge base and end-user input. You are responsible for the prompts and content you and your end users provide, for verifying the accuracy of outputs, and for ensuring you have the necessary rights in any content you upload. AI outputs may be inaccurate and are not a substitute for professional advice. You must not use the Service to generate illegal content, deepfakes, hate speech, malware, or to attempt to jailbreak underlying models. We may remove, restrict, or filter content and outputs and suspend accounts in cases of repeated or serious misuse.
6. Account and credentials
You must provide accurate information and keep it up to date. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
7. Payment, subscriptions, and Paddle as Merchant of Record
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, taxes, cancellations, and refunds are governed by Paddle's Buyer Terms, available at paddle.com/legal/checkout-buyer-terms. Subscriptions renew automatically at the end of each billing period at the then-current price until cancelled. You can cancel at any time via the customer portal accessible from the Billing page; access to paid features continues until the end of the current billing period.
8. Refunds
We offer a 7-day money-back guarantee. If you are not satisfied with your purchase, you can request a full refund within 7 days of your order date by visiting paddle.net or emailing support@simpliqualify.com. Refunds are processed by Paddle in accordance with Paddle's Refund Policy.
9. Intellectual property
The Service, including its software, documentation, branding, and underlying technology, is and remains the property of the Seller and its licensors. We grant you a limited, non-exclusive, non-transferable right to use the Service within your selected plan. You retain ownership of content you upload and grant us a limited licence to host and process it solely to provide the Service.
10. Service availability and warranties
We work hard to keep the Service reliable, but we do not guarantee uninterrupted or error-free performance. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose.
11. Limitation of liability
To the fullest extent permitted by law, our aggregate liability arising out of or relating to these Terms is limited to the fees you paid us (via Paddle) in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, consequential, or special damages, including loss of profits, data, or goodwill. Nothing in these Terms limits liability that cannot be limited by law.
12. Indemnity
You will indemnify us for third-party claims arising from your content, your unlawful use of the Service, or your breach of these Terms.
13. Suspension and termination
We may suspend or terminate your access to the Service for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. On termination, your right to use the Service ends. We may retain content for a reasonable period to allow export, after which it may be deleted.
14. Changes
We may update these Terms from time to time. Material changes will be notified through the Service or by email and become effective on the date stated in the notice.
15. Governing law
These Terms are governed by the laws of the Seller's jurisdiction of residence, and disputes are subject to the exclusive jurisdiction of its competent courts, except where mandatory consumer-protection laws of your country provide otherwise.
